This Master Service Agreement (“Agreement”) is entered into by and between:
Xynic Solutions (“Company”, “we”, “us”, or “our”) and The client (“Client”, “you”, or “your”).
This Agreement governs all services provided by Xynic Solutions unless otherwise agreed in writing.
1. Scope of Services
Xynic Solutions provides technology and digital services including, but not limited to:
Web development
SaaS application development
Mobile app development
AI automation solutions
Cybersecurity services
UI/UX design
API development and integrations
Software consulting
Specific project details, deliverables, timelines, and pricing will be defined in a separate Statement of Work (SOW), proposal, or written agreement.
In the event of a conflict, the SOW shall prevail.
2. Engagement Process
No project shall commence until:
Scope of work is approved in writing
Payment terms are agreed
Required deposit is received (if applicable)
All communication approvals may be provided via email unless otherwise specified.
3. Fees & Payment Terms
Fees will be defined in the SOW or proposal.
Deposits may be required before project initiation.
Payments are due according to milestone schedules.
Late payments may result in suspension of services.
Unless otherwise stated in writing, all payments are non-refundable.
The Client is responsible for any transaction fees, taxes, or international transfer charges.
4. Intellectual Property
4.1 Pre-Existing Materials
Each party retains ownership of its pre-existing intellectual property.
4.2 Project Deliverables
Upon full payment, the Client shall receive ownership rights to the final agreed deliverables, unless otherwise specified in writing.
Xynic Solutions retains the right to:
Use non-confidential work for portfolio purposes
Display completed projects as case studies
4.3 Third-Party Assets
Any third-party tools, licenses, plugins, APIs, or frameworks remain subject to their original licensing terms.
5. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement.
Confidential information shall not be disclosed to third parties without written consent, except where required by law.
A separate Non-Disclosure Agreement (NDA) may be executed if required.
6. Client Responsibilities
The Client agrees to:
Provide accurate information
Deliver required materials in a timely manner
Review deliverables promptly
Provide approvals without unreasonable delay
Project delays caused by the Client may result in timeline adjustments.
7. Warranties & Disclaimers
Xynic Solutions warrants that services will be performed in a professional and workmanlike manner.
However, we do not guarantee:
Specific business results
Revenue growth
Search engine rankings
Uninterrupted system operation
Complete immunity from cyber threats
All services are provided “as is” unless otherwise stated.
8. Limitation of Liability
To the fullest extent permitted by law:
Xynic Solutions shall not be liable for:
Indirect or consequential damages
Loss of profits
Data loss
Business interruption
Total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
9. Third-Party Services
Projects may involve integration with third-party platforms such as hosting providers, payment gateways, or APIs.
Xynic Solutions is not responsible for:
Downtime
Policy changes
Security vulnerabilities
Service disruptions caused by third parties
10. Term & Termination
This Agreement remains effective until terminated by either party.
Either party may terminate:
With written notice
Immediately in case of material breach
Upon termination:
Outstanding payments remain due
Work completed up to termination date shall be invoiced
11. Force Majeure
Neither party shall be liable for failure or delay due to circumstances beyond reasonable control, including but not limited to:
Natural disasters
Government actions
Internet outages
Power failures
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Pakistan.
Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Pakistan.
13. Amendments
This Agreement may only be modified in writing and agreed upon by both parties.
14. Entire Agreement
This Master Service Agreement, together with any Statement of Work, constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.
15. Acceptance
By engaging Xynic Solutions’ services, signing a proposal, or making payment for services, the Client agrees to be bound by this Agreement.
